Agreement to Terms

By accessing or using MyMediFile (“the platform,” “the service”), operated by E³ Health Technologies, Inc (“MyMediFile,” “we,” “us,” or “our”), you agree to be bound by these Terms of Use. If you do not agree to these Terms, do not use the platform.

These Terms apply to all registered users of MyMediFile, including patients, providers, and clinic staff. Visitors to mymedifile.org who browse our public website or submit an enquiry form are covered by our Privacy Policy but are not bound by these Terms unless they create an account.

2.  Description of Service

MyMediFile is a patient-controlled health information platform that helps patients organize their health information and share a structured, provider-ready summary with their care team before clinical visits.

Current platform features include:
  • Patient health record organization and management
  • Provider-ready pre-visit summaries
  • Document storage and management
  • AI-assisted health information explanation (Explain Results feature)
  • Provider review workflows and dashboards
  • Intake link management and patient update workflows
  • PDF export and EMR-copy functionality

MyMediFile is designed to complement — not replace — existing clinical workflows and electronic medical record systems.

3.  What MyMediFile Is Not

MyMediFile is a health information technology platform. MyMediFile does not deliver medical care and is not a hospital, physician practice, health insurance company, pharmacy, or emergency medical service. California law separately deems software designed to maintain medical information a “provider of health care” for medical-confidentiality purposes only, as described in our Privacy Policy; that designation does not mean MyMediFile delivers medical care or has a treatment relationship with you.

MyMediFile does not provide medical advice, diagnose medical conditions, prescribe treatment, or replace the relationship between patients and licensed healthcare professionals. Your use of MyMediFile does not create a physician-patient, provider-patient, fiduciary, or other professional relationship between you and MyMediFile or E³ Health Technologies, Inc.

If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. Do not use MyMediFile in an emergency.

Healthcare decisions should always be made in consultation with qualified healthcare professionals.

4.  Artificial Intelligence Features

MyMediFile currently uses Google’s Gemini AI services to provide the Explain Results feature.

When you use this feature, the text of the document you select is transmitted to the AI model to generate the explanation. No other profile information, such as your age or sex at birth, is included in the request. Medical documents often contain identifying information — your name, date of birth, medical record number, or your provider’s details — and that information is transmitted as part of the document text. We do not attach your account credentials or other MyMediFile account identifiers to the request.

Our agreement with Google for Vertex AI services includes a Business Associate Agreement (BAA), which contractually requires Google to protect the privacy and security of your health information in accordance with HIPAA.

AI-generated explanations are intended solely to improve understanding of health information in plain language. AI generated explanations may not be available for every uploaded document or file type.

AI-generated content:
  • May contain inaccuracies or omissions
  • Does not constitute medical advice
  • should not be relied upon for diagnosis or treatment decisions
  • should always be reviewed alongside the original medical information and, where appropriate, discussed with a qualified healthcare professional

MyMediFile reserves the right to modify, suspend, or discontinue AI-powered features at any time.

Before the Explain Results feature discloses information from your document to Google Cloud Vertex AI, we will ask you to sign a separate authorization on its own screen. You may withdraw that authorization at any time through your account settings, which disables the feature. Withdrawal does not affect disclosures made before you withdrew.

5.  Eligibility

To create and hold a MyMediFile account, you must:
  • Be at least 18 years of age
  • Provide accurate and complete information when creating your account
  • Have the legal authority to share the health information you submit to the platform

Accounts managed on behalf of a minor.  A parent or legal guardian may use their own MyMediFile account to organize and manage the health information of a minor in their care. By doing so, the account holder represents that they are the minor’s parent or legal guardian and have the legal authority to access, manage, and share that information

MyMediFile does not offer accounts to individuals under 18. Minors may not create or
independently use an account

6.  Account Registration and Security

To access most features of MyMediFile you must create an account. You agree to:
  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Notify us immediately of any unauthorized access to your account at support@mymedifile.org
  • Accept responsibility for all activity that occurs under your account

MyMediFile uses Supabase for authentication, including email/password login and OTP verification. We are not responsible for unauthorized access resulting from your failure to protect your credentials.

7.  Acceptance of Electronic Communications

By creating an account or using MyMediFile, you consent to receive electronic communications from us, including account notifications, security alerts, updates to the platform, and other service-related communications.

You agree that electronic communications satisfy any legal requirement that such communications be in writing.

8.  Patient Responsibilities

As a patient using MyMediFile, you agree to:
  • Provide accurate and complete health information to the best of your knowledge
  • Keep your health information reasonably current and updated
  • Understand that the accuracy of your provider-ready summary depends on the accuracy of the information you provide
  • Use the platform only for lawful purposes
  • Not submit false, misleading, or fraudulent health information

Shares you create through MyMediFile are point-in-time. The recipient sees the information you selected when the share was created, not information added afterward. You are responsible for reviewing your active shares and managing their expiration and revocation.

9.  Provider and Clinic Staff Responsibilities

As a provider or clinic staff member using MyMediFile, you agree to:
  • Use patient health information only for legitimate clinical purposes
  • Maintain appropriate confidentiality of patient information accessed through the platform

Comply with all applicable healthcare privacy laws, including HIPAA where applicable Understand that MyMediFile provides organizational support for clinical workflows and does not replace clinical judgment.

Not share patient login credentials or account access with unauthorized individuals Providers using the platform are solely responsible for complying with HIPAA and all other applicable laws regarding patient data. Providers must obtain all necessary patient consents before uploading any patient information to the platform.

10.  HIPAA & MyMediFile’s Role

MyMediFile’s role under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) depends on how the platform is used. MyMediFile’s status under HIPAA is distinct from its designation under California’s Confidentiality of Medical Information Act, which is described in our Privacy Policy.

For personal use : When you use the platform for your own personal health record management, MyMediFile is not acting as a “Business Associate” under HIPAA.

For provider use : If a healthcare provider or clinic (“Covered Entity”) uses the platform to manage patient information, MyMediFile is acting as a “Business Associate.” In such cases, we will execute a Business Associate Agreement (BAA) with the provider, and we will handle all Protected Health Information (PHI) in accordance with HIPAA.

11.  Acceptable Use

You agree not to use MyMediFile to:
  • Submit false, fraudulent, or misleading health information
  • Access another person’s account without authorization
  • Attempt to reverse engineer, copy, or reproduce the platform
  • Use the platform for any unlawful purpose
  • Scrape, harvest, or collect data from the platform without authorization
  • ‍Interfere with the platform’s operation, security, or integrity
  • Use the platform in any way that violates applicable laws or regulations
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

12.  Intellectual Property

MyMediFile and its original content, features, and functionality are owned by E³ Health Technologies, Inc. and are protected by applicable intellectual property laws.

Your health information remains yours. MyMediFile does not claim ownership of the health information you submit to the platform.

By submitting information to MyMediFile, you grant E³ Health Technologies, Inc. a limited, non-exclusive license to store, process, and display your information as necessary to operate the platform and provide the service to you. This license terminates when you delete your account or request deletion of your data.

13.  Reservation of Rights

Except for the limited rights expressly granted under these Terms, all rights, title, and interest in and to the MyMediFile platform, including all software, content, trademarks, logos, and proprietary technology, are reserved by E³ Health Technologies, In

14.  User Content

You retain ownership of the information and documents you upload to MyMediFile.

You represent that you have the legal right to upload and share such information and that doing so does not violate the rights of any third party

15.  Third-Party Services

MyMediFile integrates with third-party services to operate the platform, including:
  • Supabase - authentication and database
  • AWS - hosting, file storage, and document processing
  • Google Cloud Vertex AI — AI-powered Explain Results feature
  • Resend - transactional email
  • Stripe - provider billing and payment processing
  • Calendly - demo scheduling
  • Interfere with the platform’s operation, security, or integrity

Your use of these third-party services through MyMediFile is subject to their respective terms of service and privacy policies. MyMediFile is not responsible for the practices of these third-party providers.

We may replace, remove, or add third-party service providers from time to time as the platform evolves. Such changes will be reflected in our Privacy Policy where appropriate and made in accordance with applicable law.

16.  Billing and Payment

Provider accounts with paid features are billed through Stripe. By providing payment information, you authorize MyMediFile to charge your payment method for applicable fees.

Billing terms, pricing, and cancellation policies will be communicated separately at the time of subscription. MyMediFile reserves the right to update pricing with reasonable prior notice.

17.  Service Availability

While MyMediFile strives to maintain reliable service, we do not guarantee uninterrupted availability.

Maintenance, updates, outages, or events beyond our control may temporarily affect access to the platform.

18.  Beta Features

From time to time, MyMediFile may make experimental or beta features available.

Beta features may change, be modified, or be discontinued without notice and may not perform as intended.

19.  Termination and Suspension

MyMediFile may suspend, restrict, or terminate access to the platform if:
  • These terms are violated
  • Unauthorized or unlawful activity is suspected
  • Continued access presents a security risk
  • Otherwise permitted by applicable law

You may terminate your account at any time by contacting support@mymedifile.org. Upon termination, your access to the platform will cease and we will handle your data in accordance with our Privacy Policy.

20.  Disclaimers

The platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. MyMediFile does not warrant that:

  • The Platform Will Be Uninterrupted Or Errorfree
  • The Information Provided Through The Platform Is Accurate, Complete, Or Current
  • The Platform Will Meet Your Specific Requirements

To the maximum extent permitted by applicable law, MyMediFile disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

21.  Limitation of Liability

To the maximum extent permitted by applicable law, E³ Health Technologies, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising from your use of or inability to use the platform, the conduct or content of any third party on the platform, or unauthorized access to or alteration of your
transmissions or content.

In no event shall our aggregate liability for all claims relating to the platform exceed the greater of (i) one hundred dollars ($100) or (ii) the amount you paid to us in the twelve months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, or fraud.

22  Indemnification

You agree to indemnify and hold harmless E³ Health Technologies, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

23.  Force Majeure

MyMediFile shall not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including natural disasters, acts of government, internet outages, cyberattacks, labor disputes, or failures of third-party infrastructure providers.

24.  Severability

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

25.  Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

26.  Governing Law

These Terms are governed by applicable United States federal law and, where applicable, the laws of the State of Delaware, without regard to conflict of law principles.

27.  Dispute Resolution &Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND HAVE YOUR CLAIM HEARD BY A JURY. THIS SECTION CONTAINS A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER.

27 .1  Applicability

his Dispute Resolution and Arbitration section (“Arbitration Agreement”) applies to any dispute, claim, or controversy between you and E³ Health Technologies, Inc. (“MyMediFile,” “we,” “us,” or “our”) arising out of or relating to these Terms, the Service, or any other aspect of your relationship with MyMediFile (a “Dispute”). This Arbitration Agreement shall apply, without limitation, to all Disputes that arose or were asserted before the effective date of these Terms or any prior version of these Terms.

27 .2  Informal Dispute Resolutionn

We want to address your concerns without needing a formal legal case. Before filing a claim against MyMediFile, you agree to try to resolve the Dispute informally by contacting legal@mymedifile.org. We will try to resolve the Dispute informally by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, you or MyMediFile may bring a formal proceeding.

27 .3  Arbitration

All Disputes arising out of or in connection with these Terms, or your use of the Service, that are not resolved through the informal dispute resolution process described above, shall be finally settled by binding arbitration administered by ADR Services, Inc. (“ADR Services”) under its Arbitration Rules then in effect (the “Rules”), except as modified herein. The arbitration will be conducted in the U.S. county where you reside or another mutually agreed location

27 .4  Arbitration Fees

If you are a consumer, MyMediFile will pay for all arbitration fees and costs, including the arbitrator’s fees, in excess of the filing fees you would have been required to pay to file the claim in a court of law. MyMediFile will not seek its attorneys’ fees and costs in arbitration unless the arbitrator determines that your claim is frivolous.

27 .5  Arbitrator’s Powers.

The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve all Disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including, but not limited to, any claim that all or any part of this Arbitration Agreement is void or voidable. The arbitrator shall be empowered to grant whatever relief would be available in a court under law or in equity. The arbitrator’s award
shall be written and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

27 .6  Class Action Waiver

YOU AND MYMEDIFILE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Further, unless both you and MyMediFile agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Arbitration Agreement shall be null and void.

27 .7  Exceptions to Arbitration

Notwithstanding the foregoing, the following claims are not subject to this Arbitration Agreement:

Small Claims Court. Claims that qualify for small claims court may be brought in that jurisdiction.

Public Injunctive Relief. To the extent the law allows, a claim for public injunctive relief may be brought in a court of competent jurisdiction. This provision does not authorize a private attorney general action.

PAGA Claims. A representative action brought on behalf of others under the Private Attorneys General Act of 2004 (PAGA), California Labor Code § 2698 et seq., may be brought in a court of competent jurisdiction

27 . 8  30-Day Right to Opt-Out

You have the right to opt out of and not be bound by the arbitration and class action waiver provisions set forth in this section by sending written notice of your decision to opt out to the following email address: legal@mymedifile.org. The notice must be sent within thirty (30) daysof your first use of the Service.

Otherwise, you shall be bound to arbitrate disputes in accordance with the terms of those paragraphs. If you opt out of these arbitration provisions, MyMediFile also will not be bound by them.

27 .9  Preservation of Statutory Remedies

Nothing in this Arbitration Agreement shall be construed as a waiver of any non-waivable statutory rights or remedies, such as the right to seek punitive damages or attorney’s fees where authorized by statute.

27 .10  Severability

With the exception of the provisions in the “Class Action Waiver” subsection, if an arbitrator or court decides that any part of this Arbitration Agreement is invalid or unenforceable, the other parts of this Arbitration Agreement will still apply.

28.  Changes to Terms

We may update these Terms of Use from time to time. We will notify you of material changes by email or by posting a notice on the platform. Your continued use of MyMediFile following the effective date of updated Terms constitutes acknowledgment of the revised Terms to the extent permitted by applicable law.

29.  Entire Agreement

These Terms, together with the MyMediFile Privacy Policy & Data Practices and any additional policies or notices expressly incorporated by reference, constitute the entire agreement between you and E³ Health Technologies, Inc. regarding your use of the MyMediFile platform, and supersede any prior agreements or understandings.
